These Terms of Service ("Terms") govern your access to and use of datasupplies.com and purchases made through the website. Data Supplies is a trade name and brand operated by Power Industrial, LLC. In these Terms, "Data Supplies," "we," "us," and "our" refer to Power Industrial, LLC doing business as Data Supplies.

By using the website, requesting a quote, creating an account, or submitting an order, you agree to these Terms and the policies incorporated by reference. If you do not agree, do not use the website or place an order.

1. Eligibility and Authority

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and able to enter into a binding agreement. If you act for a business, government agency, school, institution, reseller, or other organization, you represent that you are authorized to bind it. Nothing in these Terms waives a right that applicable law does not permit you to waive.

2. Products, Sourcing, and Condition

We sell IT, networking, cybersecurity, communications, power, storage, and related technology products sourced through established United States distribution channels. Unless a product page or accepted written quote expressly states otherwise, products offered as new are new, unused, genuine products supplied in original manufacturer packaging.

Products described as refurbished, renewed, recertified, open-box, used, configured, or otherwise different from new condition will be identified as such before purchase. Manufacturer packaging, labels, documentation, accessories, specifications, or product revisions may change. We do not knowingly sell counterfeit products.

3. Product Information and Compatibility

We make reasonable efforts to keep titles, manufacturer part numbers, specifications, descriptions, images, prices, condition, and availability accurate. Information supplied by manufacturers or distributors may occasionally contain errors or become outdated. The manufacturer part number is the primary product identifier when one is provided.

Images should depict the offered product, but packaging, labels, included literature, and minor non-material details may vary under the same manufacturer part number. You are responsible for confirming compatibility with your equipment, software, network, electrical system, regulatory requirements, and intended use. Unless expressly guaranteed in a signed writing, pre-sales assistance is not an engineering certification or guarantee of compatibility.

4. Availability and Lead Times

Availability may depend on our inventory, distributor inventory, manufacturer supply, allocation, geographic restrictions, lead times, or discontinuation. We may limit quantities or split an order into multiple shipments. Handling, sourcing, backorder, transit, and delivery dates are estimates unless we expressly guarantee a date in writing.

If availability or the expected shipping time changes after an order is submitted, we will use the contact information provided with the order to notify you. If we request instructions and do not receive a response by the end of the next scheduled shipping business day stated in the notice, we may continue processing and ship the item under the updated estimate. After the order ships, a later cancellation request is handled under our Return & Refund Policy. We will not substitute a materially different product or impose an undisclosed additional charge without your agreement.

5. Pricing, Taxes, and Errors

Prices are shown in the currency displayed on the website, quote, or checkout page and may change before an order is accepted. Applicable shipping charges, taxes, duties, freight charges, and other required fees will be disclosed before order submission when reasonably calculable. Freight, oversized, international, or specially handled orders may require a separate quote and your approval before acceptance.

If a listing contains a pricing, technical, supplier, feed, or typographical error, we may contact you with the corrected information or cancel the affected item. If we cancel after collecting payment, we will refund the canceled amount to the original payment method unless otherwise agreed. Tax-exempt customers must provide valid documentation before tax-exempt treatment is approved.

6. Orders and Acceptance

Your order is an offer to purchase. An automated acknowledgment, order number, or payment authorization confirms receipt but is not necessarily final acceptance. We may accept, place on hold, decline, or cancel an order for a lawful reason, including product unavailability, listing error, payment or identity verification, suspected fraud, export restrictions, manufacturer or distributor restrictions, or incomplete information. An order is accepted when we expressly accept it, begin fulfillment, submit a non-cancelable procurement order, or ship it.

If we cancel an order after collecting payment, we will refund the canceled portion. A bank or payment provider may require additional time to release an authorization or post a refund.

7. Payment and Verification

Available payment methods are those displayed at checkout or in an accepted written quote. Payments may be processed by Shopify, financial institutions, card networks, or other third-party providers. You represent that you are authorized to use the submitted payment method and that the billing information is accurate. Orders may be delayed or declined while we verify payment, identity, billing, shipping, ownership, end-user, or destination information.

8. Cancellations, Returns, and Refunds

Cancellation requests are not effective until confirmed by us in writing. An order that has not shipped may be canceled at no charge unless it is a special-order, non-stock, configured, custom, licensed, subscription-based, digitally delivered, discontinued, clearance, backordered, or specifically sourced item that has already become non-cancelable.

Returns, RMAs, restocking fees, return shipping, damaged or incorrect items, and refunds are governed exclusively by our Return & Refund Policy, which is incorporated into these Terms. The policy includes a 30-calendar-day window for eligible unopened products and a 30% restocking fee for eligible discretionary returns. Product-specific restrictions disclosed before purchase also apply.

9. Shipping and Delivery

Shipping destinations, handling times, carrier transit estimates, costs, address requirements, tracking, optional insurance, and claims are governed by our Shipping Policy, which is incorporated into these Terms.

Most eligible in-stock orders placed before 1:00 PM Central Time on a business day ship that business day. This is a service target, not a guarantee. Eligible standard parcel orders with a qualifying merchandise subtotal below $500.00 ship by Ground for a flat rate of $19.99. Eligible standard parcel orders with a qualifying merchandise subtotal of $500.00 or more receive free Ground shipping when shown at checkout. Taxes, duties, shipping charges, optional insurance, and other fees do not count toward the threshold.

These parcel rates do not apply to freight, palletized, oversized, unusually heavy, specially handled, restricted-destination, or otherwise ineligible shipments. Any separate freight or special-handling charge must be disclosed and approved before order acceptance or fulfillment. Paid Next Day Air may be offered for eligible parcel shipments at checkout or in a written quote, but is not available for freight or otherwise ineligible shipments. Next Day Air changes carrier transit time after an item is ready to ship and does not automatically shorten sourcing, backorder, verification, or handling time.

Shipping insurance is not included by default. It must be specifically requested before fulfillment, and any additional charge must be disclosed and accepted before it is added. Choosing or declining optional insurance does not waive any right or remedy that cannot legally be waived and does not excuse us from the remedies stated in our Shipping Policy or Return & Refund Policy for a verified lost, damaged, or incorrect shipment.

10. Software, Licenses, and Subscriptions

Software, licenses, subscriptions, support contracts, cloud products, and digital items may be subject to additional provider terms, activation requirements, usage restrictions, and renewal conditions. They may become non-cancelable and non-returnable once submitted, provisioned, registered, activated, delivered, or associated with an end user. Any automatic renewal offered directly through the website will be disclosed before purchase.

11. Manufacturer Warranties

Manufacturer warranty availability, coverage, duration, registration, geographic limitations, and claims procedures vary by product and manufacturer. When applicable, the warranty is provided by the manufacturer under its terms. We do not extend or modify a manufacturer's warranty unless expressly stated in writing.

Warranty information on a product page is based on information available from the manufacturer or distributor. You may request available warranty terms before purchase. We may provide reasonable documentation or assistance, but the manufacturer controls approval of its warranty claims. We will honor our Return & Refund Policy and rights that cannot lawfully be excluded.

12. Website Disclaimer

The website and its content are provided on an "as available" basis. We do not guarantee uninterrupted, error-free, or secure operation. To the fullest extent permitted by law, we disclaim warranties relating to the website and its content, including implied warranties of fitness for a particular purpose and non-infringement. This website disclaimer does not eliminate an applicable product warranty, an express written remedy, or a right that cannot lawfully be excluded.

13. Limitation of Liability

To the fullest extent permitted by law, Data Supplies, Power Industrial, LLC, and their owners, affiliates, officers, employees, agents, suppliers, and service providers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, including loss of profit, revenue, data, opportunity, goodwill, or use. To the fullest extent permitted by law, our aggregate liability relating to an order will not exceed the amount paid to us for the product giving rise to the claim.

These limitations do not apply to fraud, willful misconduct, personal injury for which liability cannot lawfully be excluded, or another liability that applicable law prohibits us from limiting.

14. Independent Reseller and Trademarks

Data Supplies is an independent reseller and is not the manufacturer of products offered on the website. Product names, brand names, logos, model numbers, trademarks, and service marks belong to their respective owners and are used for product identification. Unless expressly stated for a particular manufacturer or program, references do not imply that Data Supplies or Power Industrial, LLC is sponsored, endorsed, affiliated, certified, or acting on behalf of that manufacturer.

15. Export Controls and Restricted Transactions

Products, software, technology, encryption items, and technical information may be subject to United States export controls, sanctions, import laws, and similar regulations. You agree to comply with applicable laws and not to export, re-export, transfer, release, divert, resell, or use an item for a prohibited destination, restricted party, prohibited end user, or prohibited end use.

We may request ownership, intermediary, consignee, freight-forwarder, end-user, intended-use, or destination information; screen transactions; place orders on hold; or refuse or cancel a transaction when compliance cannot be verified. You may not use an intermediary to circumvent a legal or contractual restriction.

16. Prohibited Uses and Accounts

You may not use the website unlawfully or fraudulently; submit false information; interfere with its security or operation; gain unauthorized access; introduce malicious code; infringe another person's rights; scrape or commercially exploit content without permission; or evade applicable export, licensing, geographic, reseller, or end-user restrictions. You are responsible for account credentials and activity. We may restrict an account or transaction to protect customers, the business, payment systems, manufacturers, distributors, or the website.

17. Privacy and Electronic Communications

Our handling of personal information is described in our Privacy Policy. You consent to electronic transaction communications such as order acknowledgments, payment requests, shipping updates, policy notices, and support messages. Marketing preferences may be managed through the applicable unsubscribe or preference controls.

18. Events Beyond Our Control

We are not responsible for delay or inability to perform caused by events beyond our reasonable control, including shortages, allocation, supplier or carrier disruption, severe weather, natural disaster, fire, war, civil unrest, epidemic, labor dispute, government action, embargo, sanctions, cyberattack, utility failure, or systems outage. We may extend an estimate, offer an alternative, partially fulfill, or cancel and refund the unfulfilled portion.

19. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Data Supplies, Power Industrial, LLC, and their owners, affiliates, officers, employees, and agents from third-party claims and reasonable expenses arising from your unlawful use, material breach of these Terms, infringement of another person's rights, false or unauthorized order information, or violation of export, sanctions, licensing, resale, destination, or end-use restrictions.

20. Governing Law and Venue

These Terms are governed by Texas law, without regard to conflict-of-laws principles. Subject to applicable law that provides otherwise, state courts in Hidalgo County, Texas, and federal courts with jurisdiction over Hidalgo County have exclusive jurisdiction, and you consent to venue there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

21. General Terms

If a provision is unenforceable, the remainder stays effective and the affected provision is enforced to the maximum lawful extent. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them with a merger, reorganization, financing, asset sale, or business transfer.

These Terms, incorporated policies, product disclosures, and accepted written quotes form the agreement for the applicable transaction. A separately negotiated agreement signed by our authorized representative controls over a conflict. Customer purchase-order terms do not modify these Terms unless expressly accepted in a signed writing.

22. Changes

We may update these Terms. The date above identifies the latest revision. Updated Terms apply to later website use. The terms in effect when an order was accepted generally govern that order, except where law requires otherwise or the parties agree.
